On 31 January 2015 a new Statutory Instrument came into force to replace the existing sensitive words and expression regulations. The aim is to reduce the number of sensitive names that hinders the quick formation of new limited companies, or the change of existing company names.

The new regulations have removed the following 26 words from the existing list of 150 sensitive words.

  • Abortion
  • Authority
  • Banknote
  • Board
  • Cenedlaethol
  • Data protection
  • Disciplinary
  • Discipline
  • European
  • Giro
  • Group
  • Gwladol
  • Holding
  • Human rights
  • International
  • Oversight
  • Pregnancy Termination
  • Register
  • Registered
  • Registration
  • Registry
  • Regulation
  • Rule Committee
  • United Kingdom
  • Watchdog

This includes some popular words that have proven problematic to incorporate in a company name, such as Group, International and Holding.

Within the changes is also a change to the ‘same as’ word regulations. The changes have reduced the number of words that are considered the same as other words and extends the list of permitted characters to include accents, diacritical marks and ligatures. The main words removed from the ‘same as’ list are as follows:

  • Exports
  • Group
  • Holdings
  • Imports
  • International
  • Services

The changes will also add ‘& Co’, ‘and Co’ and ‘and Company’ to the list of ‘same as’ words and expressions.

The regulation change will also close the loophole where companies used to overcome the ‘same as’ rules by putting brackets around the restricted word or expression.

The above changes provide a number of new opportunities for Companies to change their company name or incorporate new Companies that may better explain their market place or entity size that previously were not permitted.
